Terms of use
These terms cover the use of this site. The billing agreement every client accepts is reproduced in full at the bottom of this page; where an agreement exists between us, the agreement prevails.
-
What this site is
This site presents a service offering and lets you get an analysis. It is not a contractual offer: running an analysis, asking for the Analyse complète QUARTIER or filling in the form creates no obligation, for you or for us.
The quick analysis is produced automatically from the public pages of the site entered. It gives observations, not legal advice, and may contain errors. Only analyse your own business’s site or a public site you are entitled to have examined.
-
What governs an engagement
An engagement starts with a written, dated proposal that you accept. The proposal sets out the scope, the schedule, the monthly amount and the commitment period.
Business subscriptions are offered with a six-month minimum and a separate express waiver of termination without cause, to the extent permitted by law. Mandatory rights and remedies for our breach remain. Exit requires a substantiated account; future monthly payments do not automatically become a debt. The complete agreement below is accepted before the first payment.
What is written on this site is indicative; what is written in the proposal and the agreement is what binds you.
-
No guarantee of results
We do not guarantee a search ranking, a number of calls, or a level of income. Nobody can do that honestly.
What we do commit to deliver is measurable and written into the proposal: the system, its upkeep, and a monthly report of what it produced.
-
Ownership
You keep ownership of your data, your photographs, your payment account, and the content produced for you once it is paid for. The included domain is rented in QUARTIER’s name and transferred to you, with the rest of the rented year, when you leave.
We keep ownership of the platform, the reusable modules, and the tooling that produces them. The delivered static copy and its embedded components remain usable under licence after service ends, including during a dispute, under the agreement.
-
Prices shown
Amounts shown on this site are in Canadian dollars and exclude applicable taxes. They can change; the price that applies to you is the one in your proposal.
-
Availability and changes
This site is provided as is. We may change its content at any time, and the update date above records the last revision of this page.
These terms are governed by the law applicable in Québec.
Service and billing agreement
This agreement and the accepted proposal govern QUARTIER services for your business. Read them before the confirmations and payment; the accepted version is retained.
-
Parties and contract documents
QUARTIER is the supplier’s trade name. The supplier’s legal identity, enterprise number, address and notice contact details are supplied in the private journey before acceptance and payment, then retained with the accepted agreement. Those details identify the contracting supplier; omitting them from the public page does not remove them from the contract. The client is the business identified in that proposal, represented by the person accepting with authority to bind it. A sole proprietor client identifies the individual operator; a corporation identifies its legal name.
This offer is for purchases for business purposes. You separately confirm the actual business use and your authority to represent it. This statement does not remove mandatory rights: if you are buying as a consumer, this business checkout is unsuitable and we must prepare an appropriate agreement before payment.
The accepted, retained proposal identifies the initial scope, deliverables, dependencies, schedule, plan, monthly price, applicable quantities and ceilings, and each party’s responsibilities. An exception expressly negotiated and accepted by both parties prevails over the general clause it identifies. A later website edit does not change your contract. Mandatory rights always prevail.
-
Price and monthly payment
The monthly price is in Canadian dollars. No separate launch, setup or development fee is added to the plan. Initial creation and recurring services form the offer described in the proposal; no fictional development price or retroactive discount becomes payable on exit.
QUARTIER remains the service supplier. Whop processes and settles payments under its own terms; its merchant-of-record role for payments does not transfer our contractual, language or tax duties to it. In the mode where QUARTIER handles tax, Whop does not automatically calculate or add it.
QUARTIER currently states that it is not GST/QST registered and does not charge those taxes while no legal collection obligation applies. The price and only legally chargeable taxes are disclosed before your payment or debit authorisation. A change in tax status requires appropriate invoices and payment configuration before collection; a Québec enterprise number is not a GST/QST number.
The first confirmed payment covers the first month and establishes the monthly anniversary in America/Toronto time. Each following month is charged on that date; if it does not exist, the last day of the month is used, then the usual anniversary resumes. Signing the proposal alone triggers no debit.
-
What the plan includes
Every plan includes hosting for your site, protection against denial-of-service attacks (Cloudflare), and backups 2 times a week, kept for 2 months.
-
Scope, cooperation and approvals
We perform the work described in the proposal with reasonable care and diligence. Changes are classified and counted under the plan; work outside scope, an external purchase or migration requires a quote and your prior written agreement. Corrections of our failure to meet the accepted scope are not billed as a new project.
You supply necessary content, access and approvals and identify errors in information about your business. You keep your credentials and authorise only necessary access. A delay attributable to you may move the schedule after written notice; a QUARTIER delay is not attributed to you. Design and fact approval must be express: silence is not approval.
We promise no volume of calls, sales, revenue or search-engine ranking. Response and resolution targets in the proposal are service objectives unless expressly identified as firm commitments; external provider limitations are explained there. Automation and AI are checked within the agreed scope and do not replace regulated professional advice.

Usage and third-party services
Booking SMS (appointment confirmations and reminders), to Canada and the United States, per month: 500 SMS (Essential), 1,000 SMS (Growth), 2,000 SMS (Pro). Beyond that: $0.03 per SMS. To any other country no SMS is included: each SMS is billed at QUARTIER’s cost for that destination plus a 80% processing fee.
Other SMS, to Canada and the United States, per month: 150 SMS (Essential), 300 SMS (Growth), 750 SMS (Pro). Beyond that: $0.03 per SMS. To any other country no SMS is included: each SMS is billed at QUARTIER’s cost for that destination plus a 50% processing fee, plus $2 for the month as soon as a single SMS is sent outside Canada and the United States.
One SMS is one segment as the carrier bills it: up to 160 characters, or 70 when the message contains characters outside the basic SMS alphabet (some accents or emoji). A longer message counts as several SMS. Carrier rates for each country are published by our provider, Twilio.
Emails, per month: 2,000 emails (Essential), 3,000 emails (Growth), 5,000 emails (Pro). Beyond that: $1 per 1,000 emails, counted per email and rounded up to the cent.
File storage, on high-performance SSDs: 25 GB (Essential), 50 GB (Growth), 75 GB (Pro). Beyond that: $0.03 per started gigabyte per month, measured at the period’s highest point. One gigabyte (GB) is one billion bytes.
AI assistant, offered with the Pro plan: a usage budget of $10.00 (Pro) per month. Premium external services (maps, address lookup, verifications and other paid interfaces): a budget of $5.00 (Essential), $15.00 (Growth), $25.00 (Pro) per month. Beyond these budgets, usage is billed at QUARTIER’s cost, without markup.
Domain name, included with the Growth and Pro plans: a budget of $35.00 (Growth), $50.00 (Pro) per subscription year. Any excess, for example for a premium domain, is billed at cost, without markup. On a plan that does not include a domain, a domain rented by QUARTIER is billed at cost.
Payment processor fees on your own collections (deposits and online payments from your customers, for example in Stripe or Square) are yours and are taken by those processors.
Any third-party service, licence or feature not included requires your prior written agreement on the provider, price or ceiling, duration and renewal terms. We cannot add a purchase merely because we consider it necessary. Costs vary with usage; we do not promise an absence of additional charges.
-
Billing for usage
Included quantities renew on each monthly date of your subscription (each subscription year for the domain). They do not carry over. Your usage and what you have left are shown at all times in your client portal, under Billing.
You are told by email before you reach an included quantity, and again when you reach it. No usage is billed without your written authorisation for the period: until you give it, billable sends (SMS and emails beyond what is included) are paused. QUARTIER is told of every authorisation.
By authorising usage billing in your client portal, you choose a ceiling for the period and authorise a pre-authorised charge to the payment method held by Whop, without entering your card again. The usage amount is charged on your monthly payment date, as a separate payment, with only legally chargeable taxes disclosed when authorised, and never beyond the authorised total ceiling. A detailed receipt is sent to you. Once the ceiling is reached, billable sends are paused until you authorise a new one. You may withdraw your authorisation at any time for the rest of the period; usage already incurred remains owed.
Usage that the authorisation does not cover (for example storage beyond what is included) is never charged automatically: it is presented to you before it is billed. A period whose usage comes to less than $0.50 is not billed.
To prevent abuse, sends are limited to 100 SMS of each type and 1000 emails per hour. Usage is checked every day; abnormal usage may be paused while we review it with you.
Usage is measured by our servers when a message is sent or a measurement is taken, in an append-only record: corrections are appended and retention remains subject to applicable legal and destruction requirements. A refused usage payment does not suspend your subscription: only billable sends are paused until it is settled, which you can do in your client portal.
-
6-month business commitment
From the first payment, the business minimum is 6 months and 6 monthly payments at the accepted price, with the total shown before payment. The minimum funds the offer including initial creation and continuing service; it does not turn every future month into work already performed.
For this business purchase, you expressly waive, for these 6 months only and to the extent permitted by law, the right to terminate unilaterally without cause under article 2125 of the Civil Code of Québec. You accept this waiver in a separate confirmation. A fixed duration or card authorisation alone is not this waiver. You retain remedies for QUARTIER’s breach, mandatory rights and the voluntary pre-launch exit below.
A downgrade is normally available only after the minimum; an upgrade is possible without extending its end date. You may send a termination request or dispute an invoice at any time through messages or the proposal’s notice contacts. The interface does not determine whether a termination right is valid.
After the minimum, service continues month to month. You may end it with 30 days’ written notice and no exit compensation; billing stops on the effective date and we refund prepaid service not supplied. Mandatory rules allowing an earlier end remain applicable.
-
Ending before the commitment is over
If you abandon service without a termination right during a validly accepted business minimum, QUARTIER may seek compensation for direct, foreseeable and proven loss caused by that breach, including legally recoverable net loss. The claim separates accrued amounts, previously authorised external commitments and breach damages; it deducts payments, credits, avoided costs and reasonably avoidable losses. The same work cannot be charged twice.
Future monthly payments do not automatically fall due. Damages relating to the future period are capped at the remaining minimum monthly payments and must be substantiated; this ceiling is neither a fixed indemnity nor a presumed debt. A good-faith dispute is not, by itself, a breach. No exit balance or dispute fee is charged to the card without separate authorisation.
If the waiver does not apply or the law permits termination, settlement follows applicable rules, including article 2129: the value of work performed, admissible expenses and supplied goods that can be handed over and used, plus only other legally admissible loss. No future profit is claimed as a consequence of merely exercising a termination right under that article. Excess advances and unearned prepaid service are refunded; an itemised statement is provided.
We seek a written settlement. Without agreement, a disputed claim remains to be established through lawful proceedings and conditions neither data export nor the licence to the delivered copy. Periodic debits stop when service effectively ends; they cannot be used to collect undisclosed compensation.
-
Payment authorisation
You separately authorise monthly debits at the accepted price, with only legally chargeable, disclosed taxes, to the method held by Whop on the stated anniversary. These are individual payments issued each month against that saved method, not a six-month initial payment. A refusal permits at most two further automatic attempts, at least 24 hours apart, for the same invoice; a pending transfer or disputed payment is not replaced by a second debit.
Extras, usage and exit settlements require the separate authorisations described here. A price, tax or ceiling change must be disclosed before the affected debit. You may revoke authorisation for future debits by writing to us; this does not erase a legally owed debt or limit remedies with your financial institution. We confirm receipt and arrange another payment method.
QUARTIER receives only necessary payment references; QUARTIER neither collects nor stores card numbers. You maintain a valid method during authorised debits. Receipts and history identify the period and amount; a payment error is investigated and corrected without unjustified delay.
-
Refused payment and suspension
A refusal triggers notice identifying the invoice, ways to cure, deadline and consequences. For a subscription under this version, no non-payment suspension occurs before 60 hours after that notice is sent. Billing, messages, termination requests and access to exports remain available. We review a serious dispute before suspension and do not use it to penalise exercising a right.
Suspension remains proportionate: service portal access may be restricted and a person may suspend the site after review and notice. Nothing is deleted, the domain and client accounts are not withheld and the delivered copy retains its licence. Access is restored on cure; a technical restoration problem is handled diligently. Suspension does not establish a debt for the whole minimum.
Illegal activity, a security threat or seriously abusive use may require an immediate targeted restriction to prevent harm; we explain it as soon as possible and preserve reviewable evidence. This exception is not used to bypass the non-payment notice.
-
Disputes and chargebacks
You may contact us to correct an amount. Contact is not a prerequisite to a remedy, chargeback or complaint and does not suspend statutory or banking deadlines. A chargeback is not automatically abusive because payment was initially accepted or QUARTIER wins the case.
QUARTIER imposes no automatic chargeback, late-payment, collection or lawyer fee. Reimbursement of actual external fees may be sought only on an applicable legal basis and proven fault causing those fees, subject to mandatory rules. A Whop statement alone does not make you liable for its fees.
-
Changing plans
An upgrade is offered with its price and proration for the month already paid; it applies after your confirmation and payment of that difference. The new monthly price starts at the next anniversary. The original minimum is neither renewed nor extended by that change, unless a new agreement is separately negotiated and accepted.
After the minimum, a downgrade requested before the anniversary takes effect at the next monthly date. Removed features and consequences are disclosed before confirmation; data remains exportable. Mandatory rights and remedies for non-performance remain applicable during the minimum.
-
One voluntary exit before launch
If the preview is unsuitable, you may request exit in writing within 45 days after the first payment, while you have not expressly approved the design and the site is not live. We refund at least the first payment and end the minimum without breach compensation. A QUARTIER delay in providing a preview extends this window by that delay; we cannot close it by publishing without your approval.
This voluntary guarantee closes upon express design approval, approved launch or expiry of the window calculated above, whichever occurs first. A qualifying request stops later debits. Other advances are not presumed earned: we provide an account of only services actually supplied and admissible expenses and refund the excess. Unapproved, refunded drafts stay with QUARTIER; your own content and data are returned.
This guarantee adds a commercial choice. It limits no refund, cancellation deadline, remedy for non-performance or statutory termination right, including after approval, launch or expiry. A legally justified cancellation follows the applicable refund law.
-
Ownership and exit
Your pre-existing content, marks, payment accounts and data remain under your control. Individuals’ rights prevail over any description of data “ownership”. You authorise use of your content only for the engagement and warrant that you have necessary rights; our portfolio use requires separate written permission.
Once invoices allocated to delivered work are paid, QUARTIER assigns the economic rights it holds in original elements specially created for you, excluding the platform, reusable code and third-party material. QUARTIER undertakes to provide a written instrument signed by the assignor identifying those elements and to obtain necessary contributor assignments and moral-rights waivers. Payment alone is not represented as an assignment signed by a third-party author.
Reusable modules, tools and platform stay with QUARTIER. For elements embedded in the delivered copy, you receive a non-exclusive, worldwide licence, without additional royalties and for the duration of applicable rights, allowing use for your business, backups, reproduction, modification and maintenance by a replacement provider. It survives termination and disputed or unpaid invoices. It does not permit resale of the platform as a product or supply server services or internal production tools.
Open-source, stock-image, font, model and other third-party licences are identified in the dependency record supplied before delivery; their limits and replacement costs are explained. We supply a usable licence or propose an approved replacement. AI-assisted content is not guaranteed exclusive or necessarily copyright protected; we assign only rights actually held and check the available chain of rights.
When the agreement effectively ends, a delivered site is handed over within 10 business days as static HTML/CSS/JS/assets, with client-specific configuration and facts in JSON, held data in CSV or another suitable structured format, and an access and dependency record. Even during the minimum or a dispute, no disputed or unpaid invoice delays handover or revokes the licence. Your own content is exportable even if no draft was approved.
Booking, payment, authentication, CRM or AI functions relying on our servers do not survive merely through the static copy. Before commitment the dependency record explains their exit: a functional static replacement where suitable, or a separately priced and approved migration. We do not promise a complete free migration or bill an unauthorised one.
-
Domain name
A domain you own remains in your name. For a domain rented by QUARTIER under the plan allowance, you consent to registration in QUARTIER’s name during the agreement and have exclusive use for your business. Its selection, cost and any overage are approved before registration.
On exit the rented domain is transferred to you with the remainder of its paid year, regardless of the reason or dispute; you then handle renewals. Transfer generally takes less than 7 days and at most 20 business days for steps we control. Registrar and extension-specific locks may delay a transfer between registrars; we distinguish this from a change of registrant and preserve DNS and email during the delay. No lock permits withholding your access or letting the domain expire as leverage. Disclosed fees of your new registrar are yours.
-
Price and terms changes
The accepted monthly price is protected for the 6 minimum payments and the following two payments. Afterwards an increase requires at least 60 days’ written notice stating the old price, new price and date. You may refuse and end before the increase without compensation; notice cannot oblige you to pay the new price. Newly legally chargeable taxes are handled separately under Price.
No change to the minimum, waiver, ownership, authorisations or another essential obligation results merely from a website publication. Separate renewed acceptance is required. A permitted operational change does not substantially reduce the accepted service; mandatory change and termination rules prevail.
-
If the project is waiting on you
If the project awaits your content or approvals before the first payment, we may pause work and send a revised schedule or confirmation request. An internal follow-up deadline triggers no payment without prior acceptance and authorisation. After paid commencement, actually available services and agreed work are documented; service not supplied through our fault is not presumed earned.
-
Termination by QUARTIER
QUARTIER terminates a service contract only for a serious reason permitted by law, normally with at least 30 days’ notice where this prevents loss, and without acting at an inopportune time. A security emergency or serious breach may justify a faster measure; we take necessary steps to prevent client loss. A good-faith disagreement alone is insufficient.
Advances for services not supplied are refunded and exit handover remains due. Our breach does not make the minimum balance payable. Mandatory rules requiring different notice or rights apply.
-
Confidentiality and personal information
Each party protects received confidential information, restricts access to people under confidentiality duties and uses it only for the engagement or a legal obligation. Information legitimately known, independently developed or public without fault is excluded. Legally compelled disclosure is limited to what is necessary, with notice where permitted.
For its accounts, payments, communications, security and contract evidence, QUARTIER determines necessary purposes for its business relationship. For your visitors, leads and bookings, QUARTIER processes information for you under documented instructions: forms, transmission, hosting, maintenance and export. You determine collection notices and lawful bases for your activity; we remain responsible for our duties. Individuals retain their rights even where data concerns your business.
The processing record attached to the proposal identifies necessary categories, purposes, access, recipients, locations, retention, automated functions, subcontractors and exit procedures. Supabase on AWS may host outside Québec; Whop processes accounts and payments also for its own obligations; Resend sends email; Cal.com handles appointments; Cloudflare provides network and protection; Twilio sends SMS when enabled. AI processing may use AWS Bedrock with regional or global routing, or OpenAI depending on the task. Client calendar, payment and measurement integrations are added only when enabled and approved.
The contract is not blanket consent to every transfer. Before communicating outside Québec or introducing a system requiring assessment, QUARTIER performs the applicable privacy impact assessment, checks safeguards and concludes the required written agreement. A necessary provider receives only necessary data and is bound on purposes, confidentiality, retention, incidents and verification. A material destination or purpose change is not authorised merely by updating a link; legally required information and authorisations precede it.
Entrusted data is neither sold nor reused for our advertising or model training for our own purposes. Sensitive information and secrets are excluded from prompts by default. No universal absence of retention by all models is promised: the actual route, model, settings, logs and terms are checked. Sensitive or exclusively automated processing requiring additional safeguards is blocked pending required assessment and authorisations.
The role of person responsible for personal information protection is held by QUARTIER’s principal, reachable through the proposal’s contacts or quartier.agency/contact by specifying a privacy request. QUARTIER assists with access, correction, applicable portability, complaints and withdrawals; statutory deadlines prevail. An incident affecting entrusted data is reported to the client without delay with known facts and measures; each party handles notices and registers required of it.
At the end, data is exported then returned or destroyed under documented retention periods and legal duties; backups expire under their cycle and remain protected meanwhile. Only evidence, invoices or data necessary for an obligation or dispute are retained separately with restricted access and destroyed once that need ends. An append-only ledger does not promise perpetual retention. Transactional messages provide no marketing consent.
-
Liability and external events
QUARTIER is responsible for reasonable care and the agreed work, including subcontractors to the extent required by law. We diligently correct reported defects and seek to limit loss. You take reasonable steps on your side, including protecting access, checking business information and reporting problems promptly, without losing protected rights.
To the extent permitted for this business purchase, each party’s monetary liability for the engagement is limited to proven direct damages and, in total, service fees paid or lawfully owed for the twelve months before the event, with a floor equal to the accepted initial minimum total. This reciprocal cap does not limit payment for services actually owed, refunds of unearned advances or handover of property and data.
No exclusion or cap applies to intentional or gross fault, bodily or moral injury, rights or duties the law forbids limiting, or a mandatory remedy. This clause does not exempt us from legal personal-information protection duties. Compensation for unlawful content supplied by a party requires its fault, causation, proven loss, notice and an opportunity to participate in the defence; it provides no automatic reimbursement of all fees.
An unforeseeable and irresistible event meeting legal force-majeure conditions may suspend the prevented obligation: the affected party notifies the other, reduces effects and resumes as soon as possible. A mere cost increase or avoidable provider failure is insufficient. Accrued amounts remain owed; service that becomes permanently impossible and unearned is settled and refunded under applicable law.
-
Language and electronic acceptance
The complete French text, proposal and related documents are supplied or made accessible in the same journey before an express choice to conclude in English. French remains accessible with at least equivalent presentation. English choice is separate from commercial confirmations; no presumed preference substitutes for it. Where versions differ, the adhering party’s rights under the Charter of the French Language are preserved; no general French-precedence clause overrides them.
Acceptance in the authenticated account with distinct confirmations manifests intent to bind the identified client to this text and displayed price. QUARTIER retains the actor, time, language and any express choice, confirmations, version and text fingerprint, and network context as evidence. You may reread and correct your choice before payment and download the agreement; the accepted proposal and receipts are supplied on a retainable medium. Acceptance does not validate a clause prohibited by law.
-
Notices, governing law and mandatory rights
Notices go to the professional contacts in the proposal and account, which must be kept current. A termination notice or exercise of rights may also go to QUARTIER’s contacts if the portal is unavailable. We confirm receipt and effective date; a portal fault does not remove a right.
Québec law governs, subject to applicable mandatory protections. Courts with lawful jurisdiction may hear claims; no clause imposes an exclusive forum or removes Small Claims Court. Amicable discussions are available without waiving rights or suspending deadlines.
If the Consumer Protection Act applies despite the declared use, no waiver of articles 2125 and 2129, minimum, fee or notice removes its rights. Its distance-contract, copy, cancellation, refund, modification, termination and chargeback rules apply within their scope. An incompatible clause is set aside or reduced under the law; the remainder survives only where permitted. Publishing a new version does not alter past acceptance.

Hosting, denial-of-service protection (Cloudflare) and backups 2 times a week, kept 2 months, are included in every plan. The included domain is rented in QUARTIER’s name, one year at a time; if you leave, it is transferred to you with the rest of the rented year. SMS outside Canada and the US are billed at cost plus a processing fee.
Nothing beyond what is included is billed without your written authorisation, with a ceiling you choose. A client with regular use and a medium-volume clientele generally pays nothing extra; no level of usage can be guaranteed. The agreement’s usage clause
